- Legal Advice
- Manage the provision of legal advice and recommendations to support CTC’s management, and committees in decision making which has legal implications
- Represent the CTC in all courts of law in the Kingdom of Saudi Arabia and other countries as required in order to ensure the CTC’s interests are protected at all times
- Ensure both standard and non-standard agreements and template documentation are enforceable in a court of law and that the associated risk is adequately covered
- Assess regulatory environment in order to advise the Secretary General, Deputy Secretary General and relevant functions on possible impact on strategy and project plans
- Malpractice and Misconduct
- Manage the investigation of any malpractice, misconduct, and fraudulent activity in order to recommend measures in line with the relevant laws and regulations
- Investigate potential internal violations to protect the interests of the CTC
- Governance
- Actively participate in setting guidelines and administration of the governance of CTC, including the establishment, definition, implementation and periodical review of the standards and operating procedures to ensure that they are legally robust, relevant, and operationally suitable to implement and manage
- Legal Documents
- Manage the review of contracts, agreements, etc. as required and provide advice to concerned parties in order to ensure compliance with stipulated regulations and legislations, and the CTC’s policies
- Supervise the preparation and checking of all contracts between CTC and outside parties in order to ensure correctness and accuracy
- Litigation and Legal Action
- Ensure that the CTC’s rights vis-à-vis third parties are adequately protected, and oversee the initiation of litigations or court processes and arbitration where necessary to defend against any claim or legal action
- Ensure effective communication and negotiation techniques are utilized in order to avoid litigation and arbitration where possible and achieve an out-of-court, arbitration settlement satisfactory to the CTC
- Legal Outsourcing
- Direct and oversee the procurement of external legal service providers, brief them, and manage their output in order to ensure it is delivered in line with the contemplated scope of services and is produced in a timely and cost effective manner
- Ensure effective coordination with external legal advisors and key stakeholders, as well as oversee the quality of the deliverables to ensure that the services are provided as per set standards and expectations as well as to ensure that the CTC is getting the best value for the fees paid
- Legal Studies and Research
- Lead and direct the research, analysis and benchmarking for legal issues, including risk management practices, in order to ensure the establishment of legal processes in accordance with the best fitted global practices and world class standards
- Legal Awareness
- Lead the legal function in order to serve as a legal resource for CTC management and committees, keeping them informed of legislation, trends and other issues that might affect CTC’s effectiveness, responsibility to stakeholders and vulnerability to risk and legal issues
- Sponsor awareness sessions on select legal functions and on the implementation of certain legal rules for CTC employees in order to enhance the compliance of process owners with defined standards, laws, regulations and legislative requirements
- Strategy
- Participate and contribute to the development of CTC strategy by providing input and plans in line with the overall strategic objectives
- Develop the department strategy in line with the CTC strategy to ensure vertical alignment and horizontal integration with other interfacing units strategies across CTC
- Ensure that the departmental strategic plan is developed and implemented in line with CTC’s vision, mission and strategic objectives
- Policies, Processes & Procedures
- Monitor the implementation of policies, systems, processes procedures and controls and ensure that all relevant requirements are fulfilled
- Budgeting
- Prepare the Legal & International Agreements Department budget, in coordination with the Finance Section in order to ensure alignment with budget guidelines
- Monitor financial performance versus budget to keep track of costs, ensure areas of unsatisfactory performance are rectified promptly and improvement opportunities are capitalized upon
- Leadership
- Manage the effective achievement of the unit objectives through the leadership of the Legal & International Agreements Department – setting individual objectives, recruiting qualified staff, managing performance, developing and motivating staff, providing formal and informal feedback and appraisal – in order to maximize subordinate and unit performance
- Identify training needs and contribute to human capital development of the department
- Communicate CTC vision across the department and ensure awareness and dissemination of the strategic objectives
- Change Management
- Lead and direct the management of change through continuous improvement of department systems, processes and practices taking into account ‘international/ local best practice’ and changes in international/ local standards which demand proactive action plans
- Reporting
- Ensure that all department’s reports are prepared timely and accurately and meet CTC requirements, policies and standards
- Related Assignments
